terms
Unless otherwise agreed in writing by j-woodhouse, all goods are supplied on the following conditions to the exclusion of any terms or conditions stipulated by the buyer and of any representations, warranties or communications not expressly incorporated herein or in the order confirmation. By instructing and subsequently placing an order with j-woodhouse you are entering into an agreement where these Terms and Conditions are accepted.
Terms of Consulting fee
If applicable, the Consultancy Fee is calculated as a percentage of the agreed project budget – defined at the fruition of the instruction The fee is to be paid before carrying out the work as a commitment and intention to purchase. If the budget is realised then the full Consultancy fee acts as a deposit to the order – were the project to go ahead to order stage. If our scope of works increases in line with any budget increase we will review and request additional fees proportional to the uplift in the preliminary works. If the spend over the course of the project development reduces or the project isn’t realised, then a day rate will apply to the fees that have been received additional to a minimum instruction fee which will act as a retention.

Terms Of Payment
All prices are based on full payment upon receipt of invoice unless otherwise stated in writing by J-Woodhouse.
Reservation Of Title
j-woodhouse remains the owner of the goods until full payment and any interest due are received. When full or partial payment is not made on due date, J-Woodhouse can, by registered letter, request return of goods without losing any rights of suit. Further, J-Woodhouse has the right to cancel orders by written notification.
Specification
This is agreed in advance of order and as items are made to order there is no ability to reject on delivery based. In circumstances where there has been an error on behalf of the supplier these matters will be rectified. Receipt of written specification confirms the buyer’s full acceptance of J-Woodhouse’s general terms and conditions of sale. All pieces of furniture meet the British Standard requirements for Cigarette & Match and use the relevant standard foams. If additional fire treatment is required such as Crib 5, this is the responsibility of the client and specifier to identify at the outset. J-Woodhouse can’t make assumptions on what the fire strategy is on each individual project. This needs to be stated clearly from the outset at the specificaiton stage. If this is identied after orders have been placed, - relevant incurred charges will be levied to amend and rectify pieces to the appropriate required levels.
Order Confirmation
No order will be entered into production until a confirmation from the buyer is received in writing by J-Woodhouse and full payment or agreed deposit has been received. J-Woodhouse will not enter into a contract to supply goods until issued with a Purchase Order from the buyer and/or payment in accordance with the agreed order & value. Goods will be supplied in accordance with the order confirmation. If you are in disagreement with the confirmation you must inform J-Woodhouse within two days of the date thereof. J-Woodhouse is not required to accept changes of order after the order confirmation is accepted and order placed.
Cancellation
After a confirmation is issued, the customer cannot cancel an order without the written consent from J-Woodhouse. A cancellation charge will be the deposit for off the shelf products, and up to the total amount of order for customized items. Pricing can be subject to change without notice due to changing market conditions, currency fluctuations or manufacturer price changes.
All products are purchased on request / made to order and refunds are not accepted. All purchases should be fully considered in advance of making payments for orders and will be fully signed off by the client prior to purchasing by way of signed written contract. Once orders are placed refunds are not applicable and any return of funds would be subject to a cancellation fee of 10% plus additional charges incurred.
Lead times
Any lead time quoted is subject to change for reasons out of the control of J-Woodhouse. Items are produced across the world and delays in shipping and freight can be subject to delays, weather, acts of god, political and so forth.
Warehousing
Any storage time due to a delay from agreed delivery date will be charged for, cost will be calculated on volume of goods at the rate of £10 excluding VAT per cubic metre, per week.
Delivery & Transport
Delivery dates acknowledged by J-Woodhouse are non-binding estimates only, based upon the best available information concerning manufacturers lead times and transportation schedules. Therefore, orders may be shipped on, prior to (with the buyers' approval) or after the estimated date (after notification to the buyer). Delivery terms will be considered as accepted by the buyer unless disagreement is notified to J-Woodhouse in writing within seven days of order placement. Special delivery conditions requested by the buyer should be given in writing at the time of order placement and if necessary charges may change accordingly. From delivery or placement into storage all risks for the goods pass to the buyer. When goods are received into our warehouse we will contact you to arrange delivery. 48 hours’ notice must be given for cancellation of any arranged deliveries, failure to do so will incur a charge.
Clients on Account
Delay or default of payment: For account holders failure to settle your account within the agreed period will automatically change your account with us back to a Pro-forma basis. No further orders will be dispatched until all amounts are settled in full. We reserve the right to terminate any trading agreements and will charge interest at 1.5% per month (variable) on all overdue accounts.
Insurance
J-Woodhouse will cover the insurance of your purchase during the time it is in transit until it is delivered to you. We require a signature for any goods delivered, at which point responsibility for your purchased goods passes to you. If you have specified a recipient who is not you for delivery purposes (site contact) then you accept that evidence of a signature by them (or at that delivery address) is evidence of delivery and fulfilment by J-Woodhouse and absolves J-Woodhouse of any responsibility.
Warranties and Liabilities.
J-Woodhouse will extend to you, the supplier warranty as provided on to the client subject to wear and tear of upholstery and fair usage. This covers structural integrity
Claims
The buyer must inspect carefully all items at time of receiving the goods. Claims for damage and shortages must be notified to J-Woodhouse within two days and written notification received within seven days. We cannot accept responsibility for the non-arrival of notification within the specified time. Failure to make such claims within the specified time constitutes acceptance of the merchandise and quality thereof. J-Woodhouse may not accept claims for damage resulting from storage by the buyer or storage by J-Woodhouse on behalf of the customer and for damage resulting from accident, alteration or misuse after delivery. Also for dissatisfaction with colour, grain, veneering or texture of wood, marble and leathers because of natural variations which J-Woodhouse has no control over.
Disputes
Any disputes will be settled under English law in the courts of London who are deemed solely competent to settle any dispute concerning the sale.
Validity
J-Woodhouse reserves the right to modify the Terms and Conditions such without notice. Should this happen the new Terms and Conditions are immediately effective and automatically supersede prior published information.
